General Conditions of Sale and Use (GCSU)

IAGENCY PRO (trademark operated by VISONIX LLC)

1. Presentation and acceptance of the General Terms and Conditions

By purchasing or accessing a service marketed under the IAGENCY PRO brand, the Client unreservedly accepts these General Conditions, which constitute a contract with:
VISONIX LLC, 412 W 7th St, Clovis, NM 88101, USA (publishing, invoicing and legal responsibility company for the services offered under the IAGENCY PRO brand).

2. Responsibility, purpose and commitments of the Client

• The products and services offered by IAGENCY PRO include:

  • Advice and consulting for individuals, freelancers, and businesses in the fields of artificial intelligence, digital innovation, and digital transformation;

  • The provision of services related to artificial intelligence: process automation, creation of customized solutions, design and implementation of AI agents, and support for the implementation of digital projects;

  • Online training, educational support, and individual or group coaching, specifically dedicated to artificial intelligence, business digitalization, and process automation.
    
    
    

• No promise of results:

  • The Company, its coaches, consultants, or speakers do not act as agents, mandataries, legal, medical, tax, accounting, financial, therapeutic, or any other regulated professional.

  • No service (training, consulting, or service) can guarantee specific results, financial gain, client acquisition, or sales.

• Client Commitment:

  • The Client is solely responsible for their decisions, results, and the application of the content, advice, or recommendations provided as part of the program, services, or consulting.

  • The Client acknowledges that purchasing, accessing, or benefiting from any IAGENCY PRO service, program, or program, regardless of the formula, does not commit the Company to the achievement of a given result.

  • All contractual relationships terminate at the end of the service or program provided, unless otherwise agreed in writing.

• Earnings Disclaimer:

  • No examples, testimonials, results, or case studies presented constitute guarantees or promises. Results depend solely on the Client (effort, context, resources, involvement, etc.).

  • VISONIX LLC cannot be held responsible for decisions made by the Client or the consequences of using the content, advice, or services provided.

3. Order, payment and conditions of sale

• Conditions of purchase:

  • Be of legal age (18 years old), have a valid means of payment accepted by the platform.

  • The price displayed at the time of ordering is guaranteed.

  • The Company may refuse any order deemed risky or non-compliant.
    
    
    

• Ordering process:

  • Receive a confirmation email after payment validation.

  • In the event of a sale via a partner or third party, the third party's conditions of sale apply.

  • The contract is formed upon delivery of access to the product/service.
    
    
    

• Payment methods:

  • Bank card, Stripe, PayPal, transfer (non-exhaustive list).

  • Bank or exchange fees are the sole responsibility of the Customer.
    
    
    

• Payment in installments:

  • The commitment is firm: all deadlines must be fully respected.

  • Any delay or failure will result in immediate suspension or removal of access.

  • Unpaid monthly payments may be subject to recovery.
    
    
    

• Security and payment disputes:

  • In the event of a blockage, complaint or dispute with Stripe, PayPal or other service provider, the Company will suspend or remove access to the program concerned until complete resolution.

  • Any abusive dispute will result in permanent exclusion from the programs.
    
    
    

4. Absence of right of withdrawal

• The Customer acknowledges that access to the IAGENCY PRO program is a supply of digital content provided on an intangible medium, carried out after express agreement from the Customer and waiver of their right of withdrawal (art. L221-28 of the Consumer Code).
  
  
  

• No refund will be granted outside the specific framework of the “Satisfied or Refunded” guarantee.
  
  
  

5. “Satisfied or Refunded” Guarantee — IAGENCY PRO (Liberty & Elite)

VISONIX LLC grants each IAGENCY PRO Program Customer a “Satisfied or Refunded” guarantee according to the following conditions.
This guarantee applies exclusively to the IAGENCY PRO program, whether it is the LIBERTY package or the ELITE package.

The Company undertakes to reimburse the Client if it demonstrates, by meeting all of the criteria listed below, that it has not made any sales within six (6) months following the date of purchase of the training.

Cumulative conditions to be met for any reimbursement request:

• Have viewed all of the program content via the member area (“Mark as completed” box under each module).
  
  
  

• Have created a company (SIRET number, registered company or equivalent proof depending on the country), in the field of artificial intelligence or AI services.
  
  
  

• Have invested at least €500 in marketing or prospecting actions (online advertising, flyers, local communication, etc.), with supporting documents (invoices, payment receipts, statements, etc.).
  
  
  

• Have concretely applied all the steps of the program, providing tangible proof: sales funnel, sales approaches, copies of emails sent, publications, scripts, etc.
  
  
  

• Have undertaken and documented active steps each week in the development of its AI activity for six (6) months following the purchase.
  The Client must provide a weekly summary of its actions or any concrete proof of its regularity (activity log, emails sent, posts published, call reports, etc.)
  
  
  

• Send the refund request by email to contact@iagencypro.com, attaching all the supporting documents mentioned above, within a maximum of 30 days after the expiry of the six (6) month period following the purchase.
  
  
  

Procedure and processing of requests:

• All requests will be subject to a thorough review. The Company reserves the right to request any additional documents useful for reviewing the file: screenshots, invoices, proof of sending, activity reports, email exchanges, etc.
  
  
  

• The warranty may only be invoked in good faith. Any attempt at fraud, false declaration or abusive request will result in the immediate rejection of the request and may lead to the permanent exclusion from all VISONIX LLC programs.
  
  
  

• The refund will be made within thirty (30) working days after complete validation of the file by the Company.
  
  
  

• Any application that is incomplete or does not comply with any of the above conditions will be automatically rejected.
  
  
  

6. Delivery, Program Access and Confidentiality

• Delivery of access:

  • Access to the program is communicated by email once payment has been validated.

  • Strictly personal and confidential access: no sharing, assigning, transferring or distributing your identifiers to third parties.

  • Any loss or difficulty accessing should be reported to contact@iagencypro.com for assistance.

  • Access remains guaranteed as long as the program remains online, subject to full compliance with the T&Cs and payment obligations.
    
    
    

• Suspension and termination of access:

  • Any violation (sharing of access, failure to pay, fraud, harmful behavior, etc.) will result in the immediate and permanent removal of access, without reimbursement.
    
    
    

• Confidentiality of exchanges:

  • All information, exchanges, content, documents or strategies shared within the program or the community (webinars, forums, coaching, mastermind, Discord, etc.) are confidential.

  • The Client undertakes not to disclose or exploit this content or information for personal or commercial purposes.

  • Any violation will result in the removal of access and may lead to prosecution.
    
    
    

7. Intellectual Property

• All content (training, videos, materials, methods, resources, etc.) is the exclusive property of VISONIX LLC.
  
  
  

• The Client is prohibited from any reproduction, distribution, exploitation or modification without prior written authorization.
  
  
  

• Any attempt at misuse, fraudulent or unauthorized use will result in immediate removal of access and possible prosecution.
  
  
  

8. Use of community spaces & events

• Community groups (e.g. Discord, forums, webinars, etc.):

  • Access to these areas is strictly reserved for members of the current program and may be limited in time.

  • Any promotion, advertising, commercial solicitation or sharing of links without written consent from the Company is prohibited.

  • In the event of non-compliance (advertising, inappropriate behavior, spam, etc.), the Company may:

    • Issue a warning;

    • Temporarily/permanently suspend or remove access to the Community and/or the Program;

    • Initiate any necessary procedure.
      
      
      

• Events:

  • Participation in events (physical or digital) implies acceptance of photo, audio or video recordings by the Company, for unlimited use in a commercial or promotional context.
    
    
    

9. Specific coaching conditions (ELITE offer)

For ELITE pack beneficiaries:

• Individual/group coaching subject to the following conditions:

  • Advance reservation required (slots subject to availability).

  • Any cancellation or postponement must be notified at least 24 hours in advance, otherwise the session is considered to have taken place.

  • Sessions must be completed within the time limit specified at the time of registration, otherwise they will be lost permanently without postponement or reimbursement.

  • Lateness of more than 15 minutes or unjustified absence: session lost.

  • Coaching is strictly personal and non-transferable.

  • Mandatory presence at each session with the necessary equipment (computer, stable internet connection, microphone, camera if required).

  • Any technical difficulty arising from the Client's fault which does not prevent the session from taking place normally will still result in it being counted.

  • Obligation to actively prepare for and participate in sessions.

  • No recording, filming or broadcasting without written consent.

  • Complete confidentiality on exchanges.

  • The Company may postpone or modify the schedule for organizational reasons or force majeure.

  • Coaching provides support and does not guarantee specific results.
    
    
    

10. Affiliate program & service provider networking

• Connection with service providers:

  • VISONIX LLC acts as a simple intermediary: no responsibility for the quality of services, compliance with commitments or any dispute with the third-party service provider.

  • Any issues should be reported to contact@iagencypro.com for possible re-evaluation of the partnership.
    
    
    

11. General legal provisions

(a) Independent contractor status

• No partnership, association, agency, employment or employee relationship is created between the Company and the Client by the acceptance of the T&Cs.
  
  
  

• Each party remains independent and responsible for its own obligations.
  
  
  

(b) Severability – Waiver

• If any clause of these T&Cs is found to be invalid or unenforceable, this will not affect the validity of the other provisions, which will remain in full force and effect.
  
  
  

(c) Force majeure

• The Company cannot be held liable in the event of an event beyond its control preventing the performance of its obligations (disasters, pandemics, wars, strikes, major computer breakdowns, etc.).
  
  
  

(d) Limitation of liability

• Use of IAGENCY PRO programs and services is at the Client's own risk.
  
  
  

• VISONIX LLC, its directors, partners, coaches, subsidiaries, etc., are released from any liability for any damage, loss, cost or harm, direct or indirect, arising from participation in the programs.
  
  
  

• The testimonials, opinions and results cited in the materials or content are examples and do not constitute a guarantee of results.
  
  
  

• VISONIX LLC is not responsible for any errors or omissions in its contents.
  
  
  

e) Non-defamation clause

• The parties undertake not to make any comments or communications (oral, written, electronic, public or private) likely to harm the reputation or image of the other.
  
  
  

• Any failure may result in permanent exclusion from programs and legal proceedings.
  
  
  

f) Termination – Suspension

• VISONIX LLC may at any time suspend, limit or terminate the Client's access to the programs, without refund, in the event of non-compliance with the T&Cs, disruptive behavior, violation of guidelines, or harm to the experience of other members.
  
  
  

• Any amount due remains payable, even in the event of termination.
  
  
  

(g) Compensation

• The Customer agrees to indemnify VISONIX LLC against any claims, damages, costs or expenses resulting from a violation of the T&Cs or the use of the programs.
  
  
  

12. Applicable law and competent jurisdiction

• These General Terms and Conditions, as well as the contractual relationships arising from them, are subject to the law in force in the United States.
  
  
  

• Any dispute relating to the interpretation or execution of these terms and conditions shall be submitted exclusively to the competent courts of the District of Clovis, State of New Mexico, USA.
  
  
  

13. GDPR – Personal data

• VISONIX LLC complies with legal obligations regarding the protection of personal data (GDPR).
  
  
  

• The data is used for program management and commercial communication.
  
  
  

• The Client may at any time exercise their rights of access, rectification, erasure or opposition by sending an email to contact@iagencypro.com.

16. Update and modification of the T&Cs

The Company reserves the right to modify these Terms and Conditions at any time. Changes will be published on the official website and will apply immediately to any new order or use of the services. The Customer is encouraged to regularly review the updated Terms and Conditions.
